End User License Agreement (EULA)
Effective Date: 01.01.2025
This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and Qsounder (“Licensor,” “we,” or “us”) governing your use of our audio mastering software (“Software”). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software solely for your personal or commercial use, in accordance with this Agreement.
2. Restrictions
You agree not to:
Copy, modify, distribute, sell, or lease the
Software or any part of it.
Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law.
Use the Software to create derivative works.
Share your license key or account credentials with others.
Use the Software in any unlawful or unethical manner.
3. Ownership
The Software is licensed, not sold. Licensor retains all ownership rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights to the Software.
4. Updates and Support
Licensor may, at its sole discretion, provide updates, patches, or new versions of the Software. These updates may be subject to additional terms and conditions. Licensor is not obligated to provide technical support unless explicitly stated.
5. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if you breach any terms. Upon termination:
Your license to use the Software will cease.
You must uninstall and delete all copies of the Software.
6. Disclaimer of Warranties
The Software is provided “as is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not guarantee that the Software will be error-free or meet your specific requirements.
7. Limitation of Liability
To the maximum extent permitted by law, Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Software, even if advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.
9. Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes any prior or contemporaneous understandings.
